RPC advises SCA on its binding offer to acquire Georgia-Pacific's European Tissue operations

RPC (Reynolds Porter Chamberlain LLP), the City law firm, has advised SCA on its binding offer to acquire Georgia-Pacific's European tissue operations.

The offered price is €1.32 billion. The deal will strengthen SCA's product offering and geographic reach in Europe. Georgia-Pacific has a well established presence in Europe in both consumer tissue and away-from-home segments, including the well known Lotus brand.

Georgia-Pacific's European tissue operations have approximately 5,000 employees and 15 production sites in seven countries.

The transaction will be subject to customary consultation with employee representatives and the approval of competition authorities.

James Mee, Partner at RPC, comments: "We are delighted to have been involved in this challenging and complex deal. We were well supported by teams of lawyers in 22 jurisdictions, many of whom are fellow members of TerraLex."

"M&A mandates topping the £1bn mark are less frequent in the current climate so it is a testament to the strength of RPC's corporate offering that SCA asked us to advise them."

RPC's team was led by Partners James Mee and David Wallis. Latham & Watkins (Graeme Sloan, Rod Brown) acted for Georgia-Pacific.
